1.1 GENERAL

1.1.1 Legal personality

Accepting the terms and conditions set in this document hereinafter "terms and conditions", "T&C" or "contract", you assume the rights and obligations described in this contract between Bewomi, LLC. hereinafter "Bewomi LLC.", "Bewomi", "Bewomi Network", "Bewomi Community", "site", "Bewomi platform", "App Bewomi" or "we" and you hereinafter "you", "user " or " Member ". 1.1.3 Update of the terms and conditions of use

You agree and acknowledge that we may revise and change these terms and conditions at any time, without notifying you and you agree that you will be bound by the provisions of these terms and conditions, however, we will try to communicate updates via email and / or notify you of updates within the App. he current terms and conditions will always be published in the App configuration menu.

Because these terms and conditions may change, we invite you to review them frequently. Additionally, you accept and acknowledge that all other content, products and services and materials available through this site and platform, are subject to updates, cancellations and / or revision without prior notice.

Bewomi Network LLC. reserves the exclusive right to change prices at any time without prior notice.

If you do not agree with these terms and conditions, we suggest you cancel your user account and uninstall the App from your smartphone.

1.1.4 Main objective of the Bewomi App

Help entrepreneurs and independent professionals to increase their sales and increase their business' reputation through a system of generating commercial referrals that are shared between them and that are rated by their own customers.

1.1.5 Of the characteristics of Bewomi members

Members in Bewomi are women and men, entrepreneurs and independent professionals from around the world, between 25 and 75 years of age, with a high sense of responsibility, ethics and collaborative work; to mutually generate business referrals.

You, like all other members, agree that you represent yourself at Bewomi and create your reputation and credibility based on effort and the value of being directly assessed by those who hire or buy your products or services.

At Bewomi, we believe that any entrepreneur and independent professional should be recognized for their achievements in meeting the needs of their clients, regardless of their years of experience or their professional degree.

1.2 USE AND BENEFITS OF Bewomi MEMBERSHIPS (FREE AND PREMIUM)

1.2.1 Use of the service

Please carefully read our Terms and Conditions of Use as well as the Notice and Privacy Policy, so you can access and make use of the service. If you do not agree with these, we ask that you please not use our service.

1.2.2 Benefits and features of the Bewomi App in its FREE version

1) Download and use the Bewomi App on your smartphone (go to Play Store, App Store or directly on the website www.Bewomi.com).

2) Make a profile as a supplier of a single specialty that allows to be known with the international community of Bewomi, with the intention of increasing sales through the recommendations made among users.

3) Receive and generate unlimited business referrals within a network of 50 members.

4) Receive and generate a maximum of 2 commercial referrals per month, from members outside of the network of commercial allies.

5) When your services are recommended to sell your product or provide a service, you will receive a rating and testimony from the customer and thereby achieve greater reputation and recognition in the Bewomi community.

6) Once you receive a recommendation from a member of the Bewomi community, you can send him feedback to improve the way he/she recommends or filter the type of clients you are looking for.

7) When you hire a Bewomi supplier, you can also be evaluated as a customer increasing your reputation within the Bewomi community.

8) Depending on your ratings and scores, you can be recognized internationally by the Bewomi Organization in accordance with the standards defined and published by Bewomi Network LLC. at the time.

9) You can configure your profile to offer or not offer an incentive, whether it's a percentage of the sale or in-kind bonuses to whom you generate a commercial referral that is for sale.

10) Receive economic, percentage or in-kind bonuses only if the commercial reference that you generated to a user resulted in a sale.

Bewomi is not responsible for whether or not the bonuses are delivered, so it disclaims any responsibility in this regard, therefore this function is designed to increase interest among users and they are responsible for fulfilling the delivery of gratifications to those who have generated a reference that was specified for sale.

If a user is constantly denounced for acting intentionally by deliberately offering a bonus that he does not really intend to deliver, Bewomi may suspend it and even unregister it from the system.

However, you can indicate whether or not the reward was paid and benefit or affect the credibility of the provider by offering a bonus. We suggest you negotiate an arrangement with the provider such that both parties benefit.

11) When you request or accept another Bewomi user of your private network, the Bewomi system will allow you to chat bilaterally to begin your relationship as strategic business allies.

12) The app will allow you to have a simultaneous translator whether in english or spanish.

1.2.3 Benefits and features of the Bewomi App in the PREMIUM version

The PREMIUM version of Bewomi gives you all the benefits of the FREE version plus the following benefits:

1) Have an UNLIMITED network of business allies.

2) Receive and generate UNLIMITED commercial referrals per month, from members outside of the network of commercial allies.

3) Have a chat with simultaneous[2] translation in at least 40 languages.

1.3 Of the conditions of use.

1.3.1 Of the technical requirements to use the App

1.3.1.1 Bewomi is a mobile application designed primarily for Smartphones with the following operating systems: Android version 5.1 Lolipop and the IOS operating system version 9 onwards. If you do not have a smartphone with the necessary basic features, you will not be able to use our App.

1.3.1.2 When a new version of both operating systems is released, Bewomi will try to update taking all the necessary time without commitment of a specific date to update its application and it is your responsibility and risk if you choose to use an older version of the Bewomi app

1.3.1.3 You are aware and acknowledge that the Bewomi application and all its services work through the use of internet access either through Wifi or the consumption of your own communication service data provided by your own internet provider, demarcating Bewomi of the responsibility of providing you with access to the internet and its proper function in case of failures in your internet access services.

1.3.2 Registration process

1.3.2.1 When you create an account within the Bewomi App, you are required to complete all fields, except the company name (optional), you agree to provide information that is true, to the best of your knowledge . Bewomi is not responsible for conflicts of any kind arising from information provided with intent or omitting truthfulness.

1.3.2.2 It is essential that you provide a picture of your face, your real first and last name, that is, without aliases, nicknames or abbreviations and all other fields that the registration format requests, otherwise, you will be unable to register and gain access the application.

1.3.2.3 If you indicate that you work for a company, only you will be responsible for the validity of such information which does not represent any kind of agreement or relation of the company with Bewomi. For this reason, Bewomi will not be responsible for any damages that may be generated between you and the company in which you declare to work with.

1.3.3 Linking the App with your email

1.3.3.1 When you create a user account in Bewomi, you must provide an active email, you will receive a verification code and thereby ensure that the registration is being completed by you. This email must belong to you and be a personal email, otherwise Bewomi may reserve the right to suspend and / or terminate your account.

1.3.4 To create your network of contacts

1.3.4.1 To create your network of business allies, you'll only invite people who offer products or services in the Bewomi marketplace, with whom you have agreed to mutually support one another to generate business referrals. You have several mechanisms to invite and add business partners to your network: a) Through a user search engine in the Bewomi community, b) Through contacts in your phone book, c) Through reading QR codes of other users generated by the app.

1.3.4.2 The free service plan allows you to have up to 50 business allies,he Premium plan allows for an unlimited number of business allies in your business network. (See section 1.2).

1.3.4.3 If you have the free version and exceed the limit of 50 business contacts in your network, you will have two alternatives to add more contacts: a) upgrade to the Premium version of Bewomi to have a network of unlimited contacts or b ) Remove commercial allies from your business network to add others, as long as you have no referrals unfinished or from you to them.

1.3.5 Commercial referrals and their procedure

1.3.5.1 To generating a new business referrals you will be asked to validate the authenticity of that referral, so you have to validate you have had a previous conversation with the potential client about their needs and that has resulted in the recommendation for a member of Bewomi, as well as the authorization of the client to share their contact information with the supplier you are recommending.

Bewomi won`t be responsible for possible complaints or subsequent complaints of the client related to data privacy.

1.3.5.2 It is your responsibility to complete the first 3 steps of the referral process received, 1) Contact the customer, 2) answer any of their questions and tend to their needs and 3) Rate the experience conducting business with them.

1.3.5.3 You agree to act always with ethics and professionalism, avoiding, as best as possible, conflicts arising from misunderstandings and / or acts of intended fraud generated between those involved in a commercial operation,be you the supplier, the customer or even the referrer. (See Code of Ethics of the Bewomi community attached to this document or on the website www.Bewomi.com)

1.3.5.4 In the event that Bewomi determines that you have acted with intent of fraud, after an investigation, Bewomi reserves the right to suspend and / or terminate your account for conduct that violates the Code of Ethics of the Bewomi community, without the company has to partially or totally reimburse your payment if you have a valid Premium subscription. (See Code of Ethics of the Bewomi community, at www.Bewomi.com or go to the legal information section of the App.)

1.3.6 On being evaluated and evaluating

1.3.6.1 You agree to rate customers and suppliers of the Bewomi community with whom you carry out commercial transactions, in accordance with the established criteria, which are represented visually with the following icons:

Like: Represents the maximum rating, which is 5 points. Closed fist: Represents a half rating, which is 2.5 points. No like: Represents the lowest rating, which is 0 points.

These ratings are added and averaged to reflect an overall rating of each customer and supplier, which is finally plotted in stars.

1.3.6.2 You agree to be evaluated by clients of both the Bewomi community and by customers outside the App, as well as Bewomi suppliers, complying with the Code of Ethics of the Bewomi community and assuming the rating has been granted without retaliation or complaints arising from any disagreement.

1.3.7 Ratings and statistics

1.3.7.1 You agree that the ratings and statistics derived from your business operations at Bewomi, whether as a supplier or customer, are clear, unbiased and objective; Bewomi will not be responsible for such ratings, assuming they are the result of their conduct within the Bewomi community.

1.3.7.2 If at any time you have any questions, you can request more information through the email contact@Bewomi.com and receive a response as quickly as possible to the responsible department at Bewomi (in English or Spanish as the case).

1.3.8 On the bonuses, your payment and qualifications

1.3.8.1 In the Bewomi App, you can offer a bonus to anyone who sends you a business referral and deliver it once it has concluded in a closed and paid sale.

1.3.8.2 If you do not wish or your activity prevents you for legal, social or cultural reasons to offer bonuses of any kind to whom a client recommends, you are in your full right not to offer such a bonus.

1.3.8.3 Rewards may be of three types: economic, percentage or in kind.

1.3.8.4 If you offer an economic bonus, you can define the currency in which you offer it, as long as it is within the currencies that the Bewomi system makes available to you within the system in the Registration of Rewards section.

1.3.8.5 If you register a bonus and a Bewomi user sends you a referral which concludes in a proven sale, you agree to deliver that bonus to the person who recommended it. If the bonus is unpaid, the referrer may rate the bonus as unpaid, your reputation and credibility being affected, without you being able to claim or restore said rating, since the Bewomi application is not designed to reverse these processes. Therefore, you accept and agree to act ethically and timely to fulfill your commitments and the delivery of the bonus

1.3.8.6 Bewomi is not responsible for whether or not the bonuses are delivered between suppliers and referrers, therefore you will be responsible for any risk to grant or receive the bonus.

1.3.8.7 Each published bonus is linked to the commercial referral(s) received at the time it was published; However, you can modify the bonus or its type, as many times as you wish in the future, but it will only be applicable for those referrals received during its validity.

1.3.8.8 if you have bonuses pending and for some reason the provider does not deliver it during the 90 calendar days, please read clause 1.3.8.13 of these terms and conditions; You may qualify the bonus as unpaid affecting the reputation of the provider.

1.3.8.9 If a bonus is classified as unpaid, the rating won't be reversible and the supplier will be responsible for paying it on time.

1.3.8.10 If you receive the bonus, you must qualify it as paid, benefiting the credibility and reputation of the provider.

1.3.8.11 If the transaction has not yet been completed, you must qualify it as pending until it is time for the transaction to be concluded or due within the qualifying 90 day window for paying the bonus.

1.3.8.12 After the period mentioned in 1.3.8.11, if the commercial operation between the supplier and the customer has not been concluded for breach of any of the parts, you must qualify the referral as canceled; so the situation won't affect the credibility and reputation of any party.

The process statuses are divided into 4 categories and are described below:

PAID: Amount of bonuses that were paid successfully. (This will increase the reputation of the provider).

NOT PAID: Amount of bonuses that were not paid despite having successfully completed commercial transactions. (This affects the reputation of the provider).

PENDING: Amount of bonuses that are not yet paid because the commercial transactions completed.

CANCELED: Bonuses that could not be delivered because the transaction between the client and the supplier was canceled due to the breach of one or both parties, or due to the 90 day period elapsing (Example: the client did not pay or the supplier failed in their commitment to the client, etc.)

You agree that Bewomi is not responsible nor can it guarantee the receipt and / or delivery of any bonus as it is the sole responsibility of the supplier.

1.3.8.13 The bonuses to which you are accredited appear in the "Bonuses to receive". These bonuses are valid for 90 calendar days to be claimed and qualified. You will have 10 additional calendar days to rate them. If after those ten days, you did not rate the bonus, it will be considered canceled and you will not be able to claim the bonus. (We suggest you reach an arrangement with the provider).

1.3.9 Chat

1.3.9.1 The Bewomi chat system allows one-to-one communication between you and each member of your business network. The conversations and the information that you share there will be stored on our servers for a period not exceeding 180 calendar days, later, after which, the messages will be deleted.

1.3.9.2 Any contact or other information that you share through the chat with other users, will be your responsibility and at your own risk by demarcating Bewomi from any future controversy.

1.3.10 Editing your profile

1.3.10.1 You will have the right to edit your profile data, with the exception of the following data:

A. Name
B. Last Name

1.3.11 QR code

1.3.11.1 The QR code generated by the system within your user account will be useful to read the information of other Bewomi users, using the internal Bewomi QR code reader, to identify and add to your network of contacts or vice versa.

The QR code only stores the user code, not your contact information.

1.3.12 Sending a promotion

1.3.12.1 You can send a promotion of your product or service to your network of contacts using the system of sending promotions with an interval of 15 calendar days.

1.3.12.2 Bewomi is not responsible for any kind of conflict that is generated by the breach of the promotions offered by users.

1.3.12.3 Each user will be responsible for the promotions offered within the system.

1.3.13 Inviting contacts in social networks

1.3.13.1 You can invite other entrepreneurs to be part of your network using the following options: inviting directly to other users out of your network inside the app, using SMS messages to your phone's contacts, using the social networks indicated in the App or reading their QR code.

1.3.14 Settings

1.3.14.1 Through the configuration menu, you can define a series of settings such as silencing notifications, limiting certain emails, and defining whether you prefer to display distances in miles or kilometers, among others.

1.3.15 Version update

1.3.15.1 If you have the free Bewomi service plan and want to upgrade to a higher service package, you can do so through the system menu within the Bewomi App in the option: "Upgrade plan" in accordance with the costs and conditions stipulated in the article: 1.4 of these terms and conditions.

1.3.16 Suggestions and FAQs

1.3.16.1 If you wish to send suggestions for improvement to the Bewomi system, please do so in the suggestions section found in the menu within the Bewomi App or write directly to suggestions@Bewomi.com

1.3.17 From the Bewomi Community Code of Ethics

1.3.17.1 By accepting these terms and conditions, you agree to have read and agree to align your conduct as dictated by the Code of Ethics of the Bewomi community.

1.3.18 Password

1.3.18.1 Bewomi has reliable data management processes and different techniques to preserve the integrity and security of your password which is encrypted and at no time is it visible for us to see in an unencrypted way, you are responsible for keeping it in a secure place and not left in reach for other people to obtain. You agree to accept responsibility for all activities that take place related to your account or password.

to temporarily suspend your membership, you can do so by entering the code sent to you via email and when you decide to return, just enter your username and password.

If you'd like to cancel your account indefinitely, you can enter the verification code that will be sent via email and your account will be hidden for 30 days in case you decide to change your mind, after that, it will be permanently canceled.

1.3.19 On the suspension or cancellation of your account

1.3.19.1 You have the right to temporarily suspend your Bewomi account or cancel permanently in accordance with the following conditions:

a) Not having any referrals received pending completion.

b) Entering the suspension code that will be sent via email when you select the type of action you'd like to complete in your menu settings.

To temporarily suspend your membership, you may only do so by entering the code you receive via email and when you decide to return, just enter your username and password.

If you'd like to to cancel your account indefinitively, you enter the verification code will be received via email and your account will be hidden for 30 days in case you decide to change your mind, after that, it will be permanently canceled.[3]

1.3.19.2 You understand and agree that your account information will not be deleted, it will only be hidden temporarily or permanently.

If you have forgotten or lost your password, you can recover it by requesting the creation of a new one, exclusively through a recovery link on the Bewomi App access screen, you will receive an email with a link to create a new one.

1.3.20 Communication to and from Bewomi Network LLC.

1.3.20.1 To receive proper attention to your needs as a member of Bewomi, we have at your disposal the email contact@Bewomi.com or various departments listed on the Bewomi website: www.Bewomi.com

1.3.20.2 Registration and monitoring of communications: any email or phone call to Bewomi team, will be registered or monitored and by using Bewomi system and you are giving your consent to register or monitor them .

1.3.20.3 Prohibited content: All our employees and / or commission representatives are prohibited from using email to send any kind of threatening, defamatory, discriminatory, harassing, offensive or intimidating statements or materials that violate the policies of the company. Such communications are against company policy. The company does not accept any responsibility with regard to communications of this nature and the employee will be personally responsible for all damages or other issues that arise. Please inform Bewomi about such violations. The use of the company's facilities is strictly prohibited for these purposes and is illegal; whoever carries out such violations will be reported to the authorities.

1.3.20.4 False or negligent statement: Bewomi will not be liable for false information derived from an error or negligence as provided by email or by any of the other methods the company communicates with you or provided by third parties.

1.3.20.5 Exclusion: Emails sent by us follow specific communication guidelines for the Bewomi app to function properly, only those emails unrelated to the basic functioning of the system can be turned off through the app in the configuration menu . (see configuration menu).

1.3.20.6 Viruses: Computer viruses can be transmitted by email through the content of the email, email attachments and built-in links. Although we consider that our emails are free of viruses or other defects that could affect computer systems in which they are received and opened, it is the responsibility of the recipient to ensure that any email they open is free of viruses. The company is not responsible for any loss or damage arising from receiving, using, storing or transmitting our emails. If our company sends an email or replies to a previous email, the contents may have been produced by someone other than our company or our team members for which the Company assumes no responsibility whatsoever. The use of email to transmit any virus, or any code intended to be malicious or disable systems or that in any other way interferes with the transmission of e-mails from the company, telecommunication or computer networks is prohibited and goes against the law; whoever carries out such violations will be prosecuted to the fullest extent of the law.

1.4 Cost of memberships, payment methods and other concepts.

1.4.1 Prices: You agree to pay in US dollars or in your currency equivalent to dollars, according to the membership of your choice and according to the prices displayed in the Bewomi App.

1.4.2 Promotions: Bewomi has a sophisticated system of promotions and discounts that depend on a series of factors, you could receive a personal notification within the Bewomi App with a promotion or discount, and it will be exclusively for you to use in your personal Bewomi session and not for any other account.

1.4.3 Payment methods: The annual or semi-annual subscription payment method and renewal, as well as any other payment towards Bewomi, will be paid exclusively through the Bewomi mobile application, which allows credit card and debit payments.

1.4.4 Refund: You may request reimbursement of your full payment within 15 days of your payment, without any justification. After the 15 day period, no refund will be given in whole or on as stated in our refund policy available in the Bewomi App and on our website www.Bewomi.com. Users will be responsible for any bonuses and commissions generated while the account was active for the refund to be completed fees .[5]

1.4.5 Account transfer: A user account may not be assigned, transferred, sold or disposed of as it represents the reputation and information generated by the owner of the account that acquired it.

1.4.6 Renewal of subscription: if you have a Premium Bewomi membership and your subscription expires outside of the 5 day grace period we provide, your membership will return to the free version leaving only the information of the last 50 contacts added as long as you do not have pending operations with other Bewomi members, in this case, the contacts involved in those operations and the rest of the most recent contacts will be saved.

1.4.7 Temporary closure or definitive cancellation of your membership: You may suspend your membership indefinitely and return when you decide. (See point 1.3.23)

2.- THE INCOME, MANAGEMENT AND PRIVACY OF INFORMATION



2.1 On entering your information: You declare that you have provided the necessary information for the creation of your Bewomi account voluntarily and express your consent for the use and management of it, in accordance with the Bewomi Notice and Privacy Policy, available on the Bewomi website: www.Bewomi.com

2.2 Transfer of your information to the United States: You agree that the information you provided to Bewomi is transferred, processed and stored on its servers located in the United States and therefore subject to the laws governing data protection in that country; releasting Bewomi from legal responsibilities in your country of origin.

2.3 Our commitment to data security: Bewomi has reliable data management processes and different techniques to preserve the integrity and security of your personal information. However, we cannot guarantee 100% information security since technology is constantly evolving, with various types of cyber-attacks, therefore, even with high security levels, you agree to share your information at your own risk.

2.4 License to use the information provided to Bewomi: Bewomi may share your contact information, when you or another user, generate a commercial referral in which you are the customer, this information includes: Your profile picture, name, turn, specialty, telephone and email and the qualifications as a client within the Bewomi community at the time of the commercial referral.

Bewomi will not sell, give or transfer your personal information to third parties outside the company without your prior consent, except in the following cases: to investigate, prevent or take any action regarding illegal activities, suspected fraud, situations that imply potential threats to the company, physical security of any person, violations of the terms of service, or when required by law under a court order, registration order or equivalent of the government of your country, international law or when in our belief it is reasonably necessary. Additionally, with third party service providers to the extent that it is reasonably necessary to carry out, improve or maintain the Bewomi service; We may also share anonymous non- personal information (such as anonymous user information, referring to exit pages and URLs, platform types, asset views, number of clicks, etc.) with interested third parties to help them understand the patterns of use for certain content, services, advertisements, promotions, and / or functionality on the Bewomi site and the Bewomi App.

4.- On the use of the Bewomi brand



4.1 Rules and policies of the use of the Bewomi brand

4.1.1 You agree to comply with the rules and policies related to the use of the Bewomi trademark and agree to not use or attempt to use the Bewomi brand or the Bewomi platform for the following purposes:

(a) Unauthorized, illegal or prohibited activities that harm Bewomi or any third party.

(b) Transmitting advertisements, solicitation, fraudulent schemes, spam or junk mail, unsolicited emails or other unsolicited or authorized commercial communications.

(c) Transmitting computer code that are harmful or disables, or disseminating spam and malicious software or viruses.

(d) Interfere with Bewomi network services;

(e) Try to gain unauthorized access to Bewomi services or proprietary information.

(f) Creating obstacles or limiting the ability of Bewomi to operate the Bewomi platform or prevent users from accessing their account.

(g) Use any method, medium or device to access the Bewomi platform or to have access to the Bewomi platform for the purpose of manipulating results or for any other purpose other than conducting business with Bewomi.

(h) Steal a user's identity.

(i) Damage minors in any way, including, but not limited to uploading content that violates the laws of child pornography, child sexual exploitation and laws that prohibit the representation of minors involved in sexual conduct.

In case of committing any of the points outlined above, Bewomi may proceed to one or the combination of some of the following steps: a) Close your account, b) Initiate a legal trial, c) Escalate it to the corresponding law enforcement and legal authorities.

5. Intellectual property rights



5.1 Bewomi brands and their use. The brands that appear on the website of www.Bewomi.com and the Bewomi App or any affiliated website, including but not limited to the respective Bewomi logos, emblems, slogans, corporate images and designs, are registered trademarks and / or service marks of Bewomi (the "Brands"). You agree not to use or otherwise attempt to take ownership of any Bewomi brands, in association with the Bewomi platform or any affiliated website. 6. LIMITATION OF LIABILITY OF Bewomi TO THIRD PARTIES



6.1 Interaction between you and third parties. You will not be considered to have waive any of your rights or resources described in these terms and conditions unless the resignation is in writing and signed by the CEO of Bewomi Network LLC.[7] The delay or omission by us in exercising our rights or resources will not affect or be construed as waiver. Any simple or partial exercise of a right or resource will not exclude subsequent exercises of any other right or resource. Bewomi's failure to comply with the strict execution of any provision of these terms and conditions shall not constitute any waiver of Bewomi's right to subsequently exercise such provision or any other provisions of these terms and conditions incorporated into this document.

9. APPLICABLE LEGISLATION



9.1 According to the laws of the State of Delaware, USA.
